• This Agreement shall be in effect starting from the Effective Date, unless otherwise terminated by either party with a written notice within 2 weeks.

• The Ambassador agrees to serve as an official brand ambassador for the company during the term of this Agreement, representing and promoting the company's products/services in an authentic and positive manner.

a. Social Media Content

The Ambassador shall fulfill the following deliverables for social media content:

1. Story recap (3-5 stories) after each programme,
2. Highlight on @soimjenn Instagram account.

In consideration for the Ambassador's services, the company agrees to provide the Ambassador with the following compensation and benefits:

• Up to 2x complimentary personal training sessions per week (not withstanding replacement slots, should they be applicable). 

• Sessions will be assigned in blocks of 12 sessions each.

• Sessions are not transferable or exchangeable for cash, products or other services.
  
  The Ambassador acknowledges that failure to demonstrate commitment—such as tardiness, missed sessions, last-minute rescheduling, or not fulfilling agreed-upon deliverables—may result in discontinuation at the Sponsor's discretion.

MOVE reserves the right to reassign the Ambassador to a different coach at any time.

• The Ambassador retains full ownership of all content they create as part of the program. However, the Sponsor may request permission to share or feature the content for promotional purposes.

• The Ambassador agrees not to promote or endorse any competing products/services (e.g. personal training) that may conflict with the Sponsor's offerings during the term of this Agreement.

• The Sponsor agrees that the content is NOT to be used for paid content on any platforms, and that any content shared must remain in its entirety and cannot be edited and/or repurposed out of its original context.

• Both parties shall maintain the confidentiality of any confidential information exchanged between them during the term of this Agreement.

• The Ambassador shall not disclose any confidential information to third parties without the prior written consent of the Sponsor.

• If the Ambassador is unable to produce the agreed upon deliverables in due time without providing any notification or valid reasons, the Ambassador will be required to reimburse the Sponsor with the full value of services provided within 14 days of notice.

• Either party may terminate this Agreement with written notice at any time.

This Agreement shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Malaysia.

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
